2.2 Service Delivery Framework

  • Project-Based Engagement: Defined scope, timeline, and deliverables
  • Retainer Services: Ongoing monthly services with defined hours
  • Consultation Services: Advisory and strategy sessions
  • Subscription Services: Recurring access to tools or platforms

All services are governed by separate Service Agreements, Proposals, or Statements of Work (SOW) that specify scope, deliverables, timelines, and pricing.

3. User Obligations & Responsibilities

3.1 General User

  • Provide accurate and complete information
  • Maintain confidentiality of account credentials
  • Comply with all applicable laws and regulations
  • Use services for lawful purposes only

3.2 Client-Specific

  • Provide timely feedback and approvals
  • Grant necessary access to systems and accounts
  • Make payments as per agreed schedule
  • Designate a single point of contact

3.3 Prohibited Uses

  • Hacking, phishing, or unauthorized system access
  • Spamming, scraping, or data mining
  • Uploading malicious code or viruses
  • Impersonating others or false representation
  • Reverse engineering or decompiling our software
  • Reselling or redistributing our services

4. Intellectual Property Rights

Company IP

All pre-existing intellectual property, tools, frameworks, and methodologies remain our exclusive property.

Client IP

Client-provided materials, logos, and brand assets remain client property.

Deliverables IP

Upon full payment, agreed deliverables are transferred to client as per service agreement.

4.1 Website Content

All content on our website, including but not limited to:

  • • Logos, trademarks, and service marks
  • • Software, code, and scripts
  • • Audio, video, and multimedia
  • • Documentation and whitepapers
  • • Blog posts and articles
  • • Design layouts and templates

Are protected by copyright, trademark, and other intellectual property laws. Unauthorized use is strictly prohibited.

5. Payment Terms & Billing

5.1 Payment Structure

  • • 50% advance payment before project commencement
  • • 25% upon milestone completion
  • • 25% upon final delivery and acceptance
  • • Retainer fees: Monthly in advance
  • • Consultation fees: Per session or package

5.2 Payment Methods

  • • Cheque (subject to clearance)

5.3 Late Payments

  • • Late payments may incur 1.5% monthly interest charge
  • • Services may be suspended for payments overdue 15+ days
  • • Legal collection proceedings may commence after 30 days
  • • Client responsible for all collection costs

5.4 Taxes

All prices are exclusive of applicable taxes (GST, VAT, etc.). Client is responsible for all applicable taxes based on their jurisdiction.

6. Refund & Cancellation Policy

6.1 Digital Services

Digital services are generally non-refundable once work has commenced, except:

  • • Project cancellation before work begins: 100% refund
  • • Service not delivered as agreed: Pro-rata refund
  • • Mutual agreement to terminate: Settlement as agreed

6.2 Consultation Services

Cancellation terms:

  • • 24+ hours notice: 100% refund
  • • Less than 24 hours: 50% refund
  • • No-show: No refund
  • • Rescheduling: Subject to availability

  2. Request reviewed within 7 business days
  3. Approved refunds processed within 14 business days
  4. Refunds issued via original payment method

7. Confidentiality & NDA

7.1 Confidential Information

  • • Technical specifications and code
  • • Trade secrets and proprietary information
  • • Unpublished research and development

7.2 Our Obligations

  • • Maintain strict confidentiality
  • • Limit access to authorized personnel
  • • Implement security measures
  • • Return/destroy information upon request
  • • Not use information for competitive advantage

7.3 Exceptions

  • • Information already publicly known
  • • Independently developed information
  • • Required by law or court order
  • • With prior written consent

8. Warranties & Disclaimers

9. Limitation of Liability

Exclusion of Certain Damages

In no event shall Digisutra Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Exceptions

Liability limitations do not apply to: (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, (c) any other liability that cannot be excluded by law.

10. Third-Party Services & Tools

We may use or recommend third-party services, tools, or platforms. These include:

Google Analytics, Hotjar, etc.

Marketing Platforms

Google Ads, Meta Ads, etc.

Development Tools

GitHub, AWS, Google Cloud, etc.

Important Notice:

Third-party services are governed by their own terms and privacy policies. We are not responsible for their performance, security, or data practices.

Client Responsibilities

  • • Review and accept third-party terms
  • • Maintain separate accounts where required
  • • Pay any third-party fees directly
  • • Manage third-party relationships

11. Service Modifications & Suspension

11.1 Our Rights

We may suspend or terminate services if:

  • • Payment is overdue
  • • Terms violation occurs
  • • Illegal activity is detected
  • • Required for security reasons
  • • Required by law or regulation

11.2 Client Rights

You may terminate services:

  • • With 30 days written notice
  • • For material breach by us
  • • As per termination clause in agreement
  • • Upon mutual agreement

11.3 Effect of Termination

  • • All outstanding payments become immediately due
  • • Return of client materials within 30 days
  • • Confidentiality obligations survive termination
  • • License grants may terminate as specified
  • • Data handling as per Privacy Policy

12. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including:

Natural Disasters
Earthquakes, floods, etc.
Technical Issues
Internet outages, server failures
Legal Events
Government actions, regulations

Affected party must notify the other within 7 days and use reasonable efforts to mitigate impact.

13. Indemnification

You agree to indemnify us against:

  • • Your infringement of third-party rights
  • • Your illegal or unauthorized activities

Our Indemnity

We agree to indemnify you against:

Indemnification Process

  1. Prompt written notice of claim
  2. Right to control defense and settlement
  3. Reasonable cooperation from indemnified party
  4. No settlement without prior written consent

14. Dispute Resolution

Preferred Resolution Method

We prefer to resolve disputes amicably through negotiation and mediation.

Step 1: Negotiation

Parties attempt to resolve directly within 30 days.

Step 2: Mediation

If unresolved, mediate with neutral third party.

Step 3: Arbitration

Binding arbitration in Noida, India per Indian law.

Specifically governed by:

15. General Provisions

15.1 Entire Agreement

These Terms, along with Privacy Policy and Service Agreement, constitute the entire agreement.

15.2 Severability

If any provision is invalid, remaining provisions remain in full effect.

15.3 Waiver

Failure to enforce any right does not constitute waiver of that right.

15.4 Assignment

You may not assign rights without our written consent. We may assign to affiliates or successors.
